This Terms of Use document, along with our Privacy Policy , discloses the Terms of Use for https://www.allegiance-group.com and the contents therein (the “Site”).

The terms “you,” “your,” “user” and similar terms shall refer to the user of the Site. The terms “Company,” “we,” “us,” or “our” and similar terms shall refer to Allegiance Group, LLC.

Revisions to the terms of use

Allegiance Group reserves the right, at its sole discretion, to change, update, add, or remove any portion of these Terms of Use at any time by posting the changes to the Terms of Use on the Site, which will be effective immediately. Please review the Terms of Use each time you visit the Site. Your continued use of the Site after any changes to the Terms of Use are posted will be considered acceptance of such changes.

Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Allegiance Group agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Site shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be conducted in Johnson County, Kansas, unless you and we agree otherwise.

Class Action Waiver: YOU AND ALLEGIANCE GROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Allegiance Group agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Intellectual property rights – Limited License

Allegiance Group grants you a non-exclusive, non-transferable, limited right to access, use, and display the Site and the information and materials provided on the Site only pursuant to the terms and conditions of the Terms of Use. You acknowledge and agree that as between you and Allegiance Group any rights in the Site, including any copyright rights, patent rights, trademark rights and trade secrets contained therein (“Intellectual Property Rights”), are and shall remain the sole property of Allegiance Group (collectively referred to as “Allegiance Group Intellectual Property”).

Allegiance Group authorizes you to view and use the Site for your personal use. This authorization is not a transfer of title in any Allegiance Group Intellectual Property or any Intellectual Property Rights contained therein. Your use of the Site is subject to the following restrictions: (1) you may not amend the Allegiance Group Intellectual Property in any way, including without limitation, removing any notices, or replicate or publicly display, distribute or otherwise use the Allegiance Group Intellectual Property for any public or commercial purpose; and (2) you shall not modify, translate, disassemble, de-compile, or reverse engineer the Site or the Allegiance Group Intellectual Property in any way. You agree to abide by all additional restrictions displayed on the Site as they may be updated from time to time. The Site is protected by copyright, trademark, and other laws. You agree to comply with all applicable laws worldwide in your use of the Site and to prevent any unauthorized copying of the Allegiance Group Intellectual Property. Except as expressly provided herein, Allegiance Group does not grant any express or implied right to you under any Allegiance Group Intellectual Property. Any use of this Site for commercial purposes must be pursuant to a separate, written agreement between you and Allegiance Group.

You agree not to display or use Allegiance Group’s logos, trademarks, or service marks in any manner without our prior written permission. If you use the Allegiance Group Intellectual Property in a way that is not expressly allowed by these Terms of Use, you are violating these Terms of Use and may be violating Allegiance Group’s Intellectual Property rights, and other laws. In that case, Allegiance Group hereby automatically revokes your permission to use the Site. All rights not expressly granted herein are reserved by Allegiance Group.

The Site may contain links to web sites not operated by Allegiance Group. These links are provided for your convenience, but Allegiance Group does not review, control, or monitor the materials on any other web sites. Allegiance Group makes no warranty or representation regarding, is not responsible for, and does not endorse, any linked web sites or any information appearing on, products or services described on, or security or privacy practices employed by such linked web sites.

Termination of use

You agree that Allegiance Group may, in its sole discretion, at any time terminate your access to the Site. Access to the Site may be monitored by Allegiance Group.


User Conduct and Submissions

By using our Site, you agree to comply with all applicable laws and regulations. You further agree not to:

Allegiance Group reserves the right to investigate any occurrence or alleged occurrence of the foregoing unlawful or prohibited acts and to proceed with appropriate legal action, whether criminal or civil, in the event of a violation.

Disclaimer and limitation of liability

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ALLEGIANCE GROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL ALLEGIANCE GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SITE, EVEN IF ALLEGIANCE GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ALLEGIANCE GROUP’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnity

Allegiance Group shall not be liable for any failure or delay in performing its obligations under these Terms of Use if such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Electronic Contracting

Your use of our Site and any purchases or agreements made through our Site may result in the formation of a contract between you and Allegiance Group. You acknowledge and agree that:

Severability and Waiver

If any provision of these Terms of Use is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions. Our failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms of Use, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Allegiance Group regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
